Terms of Service

ModviaX is an independent AI API gateway. We are not affiliated with any upstream model provider unless expressly stated.

1. Acceptance of Terms

By creating an account, generating an API key, purchasing credits, accessing the dashboard or using any ModviaX API endpoint, you agree to these Terms of Service, our Privacy Policy, our Refund Policy and our Acceptable Use Policy. If you use ModviaX on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

ModviaX provides an AI API gateway, dashboard, API key management, usage tracking, prepaid credits and related tools. The service may route requests to supported model routes through a compatible API interface. Model availability, pricing, latency, features, context windows, streaming support and routing behavior may change based on upstream capacity, provider terms, technical constraints or business needs.

3. Accounts and API Keys

You are responsible for your account, API keys, credentials, applications and all activity that occurs under your account. You must keep API keys confidential, use reasonable security measures and promptly rotate or revoke keys that may have been exposed. You may not share accounts in a way that bypasses access controls, rate limits or billing.

4. Credits, Billing and Refunds

ModviaX uses prepaid API credits unless otherwise stated. Credits are consumed based on model usage, input tokens, output tokens, request type, route pricing and applicable fees shown or referenced in the dashboard or pricing pages. You are responsible for reviewing pricing before sending requests. We may update pricing, credit packages, bonus credits and supported payment methods at any time.

Purchasing credits or continuing to use ModviaX after purchasing credits means you also accept the ModviaX Refund Policy, which is incorporated into these Terms by reference and governs refund eligibility, review, reversals and chargebacks.

All purchases of prepaid credits are final and non-refundable once payment is completed, except where a refund is required by applicable law or expressly approved by ModviaX in writing.

Used credits, expired credits, bonus credits, promotional credits, trial credits, referral credits and any other non-purchased credits are not refundable, redeemable for cash or transferable.

Because ModviaX provides virtual, prepaid API credits and incurs costs for payment processing, account provisioning, infrastructure, risk control and upstream capacity planning, we do not provide refunds for unused credits, change-of-mind purchases, accidental purchases, unused accounts, pricing changes, route changes, latency, model availability changes or user-side integration issues, except in exceptional cases approved by ModviaX in writing or where required by applicable law.

ModviaX may, at its sole discretion, review exceptional cases, including duplicate payments, confirmed billing errors or prolonged service unavailability caused solely by ModviaX. Approved refunds may be reduced by payment processing fees, chargeback fees, currency conversion costs, taxes, discounts, bonuses already granted or other non-recoverable costs.

If a payment is reversed, disputed, charged back, determined to be fraudulent or otherwise not received, we may deduct the related credits, suspend API access, set the account balance to a negative amount, recover unpaid amounts or terminate the account. You remain responsible for all charges, usage fees and taxes associated with your account.

5. User Content and AI Outputs

"User Content" means prompts, messages, files, metadata, tool calls, instructions and other data you submit to ModviaX. "Output" means responses generated by AI models through the service. You retain rights you have in your User Content. Subject to these Terms, you may use Outputs for your own lawful purposes, but you are responsible for evaluating Outputs before relying on or distributing them.

You grant ModviaX the rights needed to receive, transmit, process, store, display and otherwise use User Content and Outputs to provide, secure, monitor, debug, bill for and improve the service. Because ModviaX routes requests to upstream model providers and infrastructure vendors, User Content and Outputs may be processed by those third parties as needed to fulfill requests.

6. Your Responsibilities

You are responsible for:

  • Complying with all laws and regulations that apply to your use of ModviaX.
  • Obtaining all rights, permissions and consents needed to submit User Content.
  • Providing any notices or disclosures required for your own users or customers.
  • Testing and monitoring your application, including fallback behavior for critical workflows.
  • Ensuring Outputs are appropriate, accurate and safe for your intended use.
  • Preventing unauthorized use of your account, API keys and integrations.

7. Prohibited Uses

Your use of ModviaX must also comply with our Acceptable Use Policy, which is incorporated into these Terms by reference.

You may not use ModviaX to:

  • Violate laws, regulations, third-party rights or provider policies.
  • Generate, facilitate or distribute malware, credential theft, phishing, spam, fraud or abusive automation.
  • Attempt to bypass rate limits, billing, access controls, security systems or model safety controls.
  • Submit illegal, harmful, infringing or privacy-invasive content.
  • Use the service for high-risk decisions without appropriate human review, safeguards and legal compliance.
  • Resell, proxy or make the service available to third parties in a way that creates abuse, hides end-user identity or violates these Terms.
  • Reverse engineer, scrape, overload, interfere with or disrupt ModviaX or its providers.

8. Service Changes, Suspension and Termination

We may change, limit, suspend or discontinue any part of the service at any time. We may suspend or terminate accounts, revoke API keys, throttle traffic, block requests or remove access to credits if we believe there is a security risk, payment issue, legal concern, abuse, policy violation or other risk to ModviaX, users, providers or third parties.

You may stop using ModviaX at any time. You may request account deactivation or deletion by contacting us at [email protected]. Before requesting deactivation, you should rotate or remove API keys from your applications, export records you need and stop sending traffic to ModviaX endpoints.

When an account is suspended, disabled, deactivated or terminated, we may immediately block dashboard access, revoke or disable API keys, stop processing requests, remove model route access, disable wallet functions, preserve records needed for security, billing, dispute resolution or legal compliance, and delete or restrict account data according to our retention practices. We are not responsible for application downtime, failed requests, lost business, lost data or other consequences resulting from suspension, deactivation or termination.

Account termination does not automatically entitle you to a refund. Any remaining credits are subject to Section 4 and any posted refund policy. Credits associated with fraud, abuse, chargebacks, policy violations, bonus grants, promotional grants or terminated accounts may be forfeited to the maximum extent permitted by law.

Sections of these Terms that by their nature should survive termination will survive, including payment obligations, refund limits, ownership provisions, confidentiality, disclaimers, limitations of liability, indemnity, dispute-related provisions and any rights or obligations that accrued before termination.

9. Third-Party Services and Providers

ModviaX depends on third-party model providers, cloud infrastructure, payment processors, analytics tools and other vendors. We do not control those third-party services and are not responsible for their availability, performance, security, policy changes or outputs. Your use of ModviaX may also be subject to third-party terms or restrictions.

10. No Professional Advice

AI Outputs may be inaccurate, incomplete, outdated, offensive or unsuitable for your use case. Outputs are not legal, medical, financial, tax, engineering, safety or other professional advice. You are responsible for human review and independent verification before relying on Outputs, especially in sensitive or high-impact contexts.

11. Intellectual Property

ModviaX and its website, dashboard, software, documentation, branding, design and related materials are owned by ModviaX or its licensors and are protected by intellectual property laws. These Terms do not grant you ownership of ModviaX technology, trademarks or branding. You may not use ModviaX marks in a way that suggests endorsement or affiliation without permission.

12. Confidentiality and Security

You must not disclose non-public ModviaX information, credentials, security details or API keys except as authorized. You must not test, scan or attack the service without written permission. If you discover a vulnerability or unauthorized access involving ModviaX, please contact us promptly and avoid public disclosure until we have had a reasonable opportunity to investigate.

13. Disclaimers

ModviaX is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory. We do not guarantee uninterrupted service, error-free operation, availability of any model route, accuracy of Outputs, compatibility with every SDK or fitness for a particular purpose. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law, ModviaX will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, business interruption, security incidents caused by your systems, model unavailability or reliance on Outputs. To the maximum extent permitted by law, our total liability for any claim relating to the service will not exceed the amount you paid to ModviaX for the service giving rise to the claim during the three months before the event giving rise to liability.

15. Indemnity

You agree to defend, indemnify and hold harmless ModviaX from claims, damages, liabilities, losses, costs and expenses arising from your User Content, applications, users, violation of these Terms, unlawful conduct, infringement of third-party rights or misuse of the service.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of ModviaX after changes become effective means you accept the updated Terms.
